1. ACCEPTANCE OF THE TERMS OF USE; ELIGIBILITY
These Terms of Use (the “Terms”) are entered into between you and Mobile DMV, LLC d/b/a GoValidate (“GoValidate”). The following terms and conditions govern your access to and use of the GoValidate Reader provided to you through the Oklahoma Reader mobile application (the “App”), including any content, functionality, and services offered on or through the App.
As used herein, the terms “we,” “us,” and “our” refer to GoValidate. The terms “you,” “your,” and “yours” refer to any natural person who accesses or uses the App.
Please read these Terms carefully before you start to use the App. By downloading, registering with or using the App, you accept and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms or the Privacy Policy, you must not access or use the App.
Before using certain features of the App you may be asked to indicate your acceptance of additional terms and conditions by clicking a button marked “I Accept,” “I Agree,” “I Consent” or other words or actions that similarly acknowledge your consent or acceptance of such additional terms (a “Click-Through Agreement”). To the extent there is a conflict between these Terms and any Click-Through Agreement for the activity in which you choose to participate, the Click-Through Agreement will govern.
This App is not intended for users under the age of eighteen (18). By providing information about yourself to GoValidate, you are representing that you are eighteen (18) years of age or older. Please check our Privacy Policy for more information on how we handle the information of children.
2. ACCESS AND PERMITTED USE
GoValidate hereby grants you a personal, non-exclusive, non-transferable, limited, revocable license to access and use the App solely for your personal use in accordance with these Terms.
We reserve the right to discontinue or modify the App, and any services we provide through the App, at any time without notice and for any reason. Unless we inform you otherwise, upon any termination (i) the rights and licenses granted to you in these Terms will end, and (ii) you must cease using the App and delete it from your device. We will not be liable if for any reason all or any part of the App is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the App or to the entire App.
You may be asked to provide certain registration details or other information in order to use the App or certain features of the App. You agree that any information you provide to us is accurate, current, and complete, including your contact information for notices and other communications from us. You agree not to impersonate or misrepresent your identity or to use another user’s log-in credentials or account information. You agree that we may take steps to verify any information you provide. If you provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we reserve the right to suspend or terminate your account or your access to the App at any time. You agree that all information you provide through the App is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
3. SECURITY
Your username and password or any other security credentials issued to you in order to access the App or content therein are confidential, and you are not permitted to disclose them to any other person or entity, nor to permit any other person to access the App or the contents thereof using your username, password or other security information.
You acknowledge that when you download, install, access, or use our App, you are accepting the risks and responsibilities associated with allowing someone physical access to your mobile device or leaving your mobile device unlocked or unattended creates the opportunity for someone to view the contents of the App. We recommend that you establish and maintain a strong passcode for your mobile deceive, install all operating system, software and App updates in a timely manner, use the App only when connected to a trusted network, and ensure you have securely erased your data and settings on your mobile device prior to releasing for sale, trade-in, gift, provider maintenance, or otherwise. GoValidate does not guarantee the confidentiality or security of any communication or other material transmitted to or from the App over the Internet or other communication network. We are not liable for any harm caused by or related to the theft, misappropriation, disclosure, or unauthorized use of your account information. You agree to notify us immediately of any unauthorized use of your account.
4. USE RESTRICTIONS
You may use the App only for lawful purposes and in accordance with these Terms. You agree not to use the App in any way that violates any applicable law or regulation. Additionally, you agree not to:
Copy, reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the App;
modify, translate, adapt or otherwise create derivative works or improvements of the App;
Use any robot, spider or other automatic device, process or means to access the App for any purpose, including monitoring or copying any of the material on the App;
Introduce any viruses, Trojan horses, worms, logic bombs or other material that is malicious or technologically harmful;
reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Apps or any part thereof;
remove, delete, alter or obscure any trademarks or any copyright, trademark, patent or other intellectual property or proprietary rights notices from the Apps or DC, including any copy thereof;
rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make the App or any features or functionality thereof to any third party for any reason, including by making the App available on a network where it is capable of being accessed by more than one device at any time;
remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management or security features in or protecting the Apps; or
use the App for the purpose of developing a competing product, service, software, or application.
Use of the App is solely at your risk and is subject to your compliance with all applicable local, state, national, and international laws and regulations.
5. INTELLECTUAL PROPERTY RIGHTS; FEEDBACK
The App and its entire contents, features and functionality (including but not limited to all information, software, text, displays and the design, selection, and arrangement thereof) are owned by GoValidate, its licensors or other providers of such material and are protected by copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, create derivative works of, republish, download, store or transmit any of the material on the App, except as expressly permitted by these Terms.
The names GoValidate, Mobile DMV, Oklahoma Reader, Service Oklahoma, and all related logos, product and service names, designs and slogans are trademarks of GoValidate or its affiliates, its customers or licensors. You must not use such marks without the prior written permission of GoValidate or the relevant owner of such mark. Any other names, logos, product and service names, designs or slogans on the App are the trademarks of their respective owners.
If you send or transmit any communications to GoValidate by email, telephone, or otherwise providing feedback or suggesting changes to the App ("Feedback"), we are free to use such Feedback for any purpose and without any attribution or compensation to you or any other party.
6. THIRD PARTY SITES AND CONTENT
The App may contain links to third-party websites or services that are not owned or controlled by GoValidate. We have no control over, and assume no responsibility for, the content, privacy policies or practices of any third-party websites, tools, or services. You acknowledge and agree that GoValidate shall not be responsible or liable for any damage or loss caused by or in connection with your use of or reliance on any such third-party websites, tools or services. You are responsible for reviewing the terms of use and privacy policies of any third-party websites, tools or applications that you visit or enable while using the App.
7. INDEMNIFICATION
You agree to defend, indemnify and hold harmless GoValidate, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the App, including, but not limited to, any use of the App, digital credentials, or content for any purpose or in any manner other than as expressly authorized under these Terms.
8. DISCLAIMER OF WARRANTIES
YOUR USE OF THE APP, CONTENT, OR SERVICES PROVIDED TO YOU THROUGH THE APP OR BY GOVALIDATE UNDER THESE TERMS IS SOLELY AT YOUR OWN RISK. THE APP, CONTENT, OR SERVICES PROVIDED TO YOU THROUGH THE APP OR BY GOVALIDATE UNDER THESE TERMS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER GOVALIDATE NOR ANY GOVALIDATE LICENSOR, CUSTOMER, OR ANY STATE OR FEDERAL GOVERNMENT, DEPARTMENT OR AGENCY USING GOVALIDATE APPS, SERVICES OR TECHNOLOGY FOR IDENTITY VERIFICATION OR DIGITAL CREDENTIALING PURPOSES MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE APP OR THE CONTENTS THEREOF, INCLUDING ANY DIGITAL CREDENTIAL ISSUED, ACCESSED, OR VERIFIED THROUGH THE APP.
TO THE FULLEST EXTENT PROVIDED BY LAW, GOVALIDATE HEREBY DISCLAIMS, ON BEHALF OF ITSELF AND ITS LICENSORS AND CUSTOMERS, ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
GOVALIDATE DOES NOT REPRESENT OR GUARANTEE THE SECURITY, ACCURACY, RELIABILITY, OR PERFORMANCE OF THE APP, AND MAKES NO REPRESENTATION THAT THE APP OR ANY CONTENT OBTAINED THROUGH THE USE THEREOF, INCLUDING ANY DIGITAL CREDENTIALS, WILL BE AVAILABLE, ACCURATE OR ERROR-FREE.
9. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL GOVALIDATE, ITS AFFILIATES, OR ITS OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE APP, OR ANY CONTENT OR WEBSITES ACCESSED THROUGH THE APP OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PROPERTY DAMAGE, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR PERSONAL INJURY OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION OF LIABILITY MAY NOT APPLY TO YOU IN ITS ENTIRETY. IF THE FOREGOING IS NOT ENFORCEABLE AGAINST YOU, IN NO EVENT WILL THE TOTAL CUMMULATIVE LIABILITY OF GOVALIDATE, ITS AFFILIATES OR LICENSORS, OR THE EMPLOYEES, OFFICERS, OR DIRECTORS OF ANY OF THE FOREGOING, HOWEVER ARISING IN RELATION TO THESE TERMS OR YOUR USE OF THE APP, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EXCEED THE AGGREGATE AMOUNTS PAID BY YOU TO GOVALIDATE TO ACCESS OR USE THE APP IN THE TWELVE-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO A CLAIM.
10. RELATIONSHIP OF THE PARTIES
THE APP AND GOVALIDATE SERVICES ARE OFFERED AND MADE AVAILABLE TO YOU SOLELY BY GOVALIDATE. YOUR USE OF THE APP DOES NOT CREATE A CONTRACTUAL RELATIONSHIP BETWEEN YOU AND ANY THIRD PARTY, INCLUDING WITHOUT LIMITATION ANY GOVALIDATE LICENSOR OR CUSTOMER, OR ANY STATE OR FEDERAL GOVERNMENT, DEPARTMENT OR AGENCY USING GOVALIDATE APPS, SERVICES OR TECHNOLOGY FOR IDENTITY VERIFICATION OR DIGITAL CREDENTIALING PURPOSES. IN NO EVENT WILL ANY THIRD PARTY, INCLUDING WITHOUT LIMITATION ANY GOVALIDATE LICENSOR OR CUSTOMER, OR ANY STATE OR FEDERAL GOVERNMENT, DEPARTMENT OR AGENCY USING GOVALIDATE APPS, SERVICES OR TECHNOLOGY FOR IDENTITY VERIFICATION OR DIGITAL CREDENTIALING PURPOSES HAVE ANY LIABILITY TO YOU RELATED TO OR ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, YOUR DIGITAL CREDENTIALS, OR GOVALIDATE SERVICES.
11. COMMUNICATIONS
By entering into this Agreement, you agree to receive communications from GoValidate, which may include emails, text messages, or voice calls (“Communications”). Voice calls and text messages (if you opt in to receive text messages or voice calls) will be to the phone number(s) you provided to us. Communications from or on behalf of GoValidate may include but are not limited to operational Communications concerning your user account, use of GoValidate services, informational Communications, or marketing content such as updates concerning new and existing products or services. You acknowledge and agree that your information may be processed in accordance with, and you are to be bound by, our Privacy Policy. If you would like to discontinue receiving email communications, you may update your preferences by using the “Unsubscribe” link found in our emails. We may ask you to confirm or update your preferences if you ask us to provide services in the future, or if there are changes in the law, regulation, or the structure of GoValidate as a business. Consent to receive text messages is not required as a condition of purchasing any services. Message frequency varies. Carriers are not liable for any delayed or undelivered messages. 12. UPDATES; MODIFICATIONS TO TERMS
GoValidate reserves the right to modify, update, or discontinue the App at any time and for any reason. Likewise, we reserve the right to amend these Terms at any time and for any reason. We will notify you of updates to these Terms by posting the new Terms of Use and updating the “Last Updated” date at the top of the Terms of Use. If you continue to use the App following our notice of updates to the Terms of Use, you will be deemed to have agreed to the updated terms.
13. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms or related to your use of the App shall be brought exclusively in the state or federal courts located in East Baton Rouge Parish, Louisiana, and you hereby consent to the personal jurisdiction and venue thereof.
14. WAIVER OF JURY TRIAL; NO CLASS ACTIONS.
TO THE MAXIMUM EXTENT ALLOWED BY LAW, EACH PARTY EXPRESSLY WAIVES TRIAL BY JURY IN ANY LEGAL ACTION OR PROCEEDING RELATING TO OR ARISING OUT OF THIS AGREEMENT. YOU AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APP OR ANY CONTENT THEREOF IS PERSONAL TO YOU AND GOVALIDATE, AND THAT SUCH DISPUTE WILL BE RESOLVED SOLELY THROUGH INDIVIDUAL CLAIMS AND WILL NOT BE BROUGHT AS A CLASS ACTION OR ANY OTHER TYPE OF REPRESENTATIVE PROCEEDING.
15. GEOGRAPHIC RESTRICTIONS
Use of the App is subject to compliance with United States export laws. You must not, directly or indirectly, access, export, or re-export the App from any jurisdiction or country for which the United States maintains an embargo on such exports, including, without limitation, Cuba, North Korea, Iran, Sudan, or Syria. If you access the App from outside the United States, you do so at your own risk and are responsible for compliance with all laws applicable to such use.
16. TERMINATION; SUSPENSION
We may terminate or suspend your access to all or part of the App, without notice, if we, in our sole discretion, believe that you are using the App or the contents thereof for any prohibited purpose or in any manner that otherwise violates these Terms. We may also terminate or suspend your access to all or part of the App if we reasonably determine that continued access or use poses a threat to the security of the App, its contents, or any other user of the App, or could result in harm to us, our customers, or licensors, or for any other reason.
Upon termination of your access, we will retain your personal information in accordance with our Privacy Policy. You may request deletion of certain information as outlined in the Privacy Policy.
17. WAIVER AND SEVERABILITY
No waiver of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of GoValidate to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.
18. ENTIRE AGREEMENT
These Terms, our Privacy Policy and any other agreements or terms explicitly referenced herein constitute the sole and entire agreement between you and GoValidate regarding the App and supersede all prior and contemporaneous understandings, agreements, representations and warranties, regarding the App.
